Terms of Engagement

1. Scope of Intelligence
CompoziQ Inc. provides automated algorithmic screening and materials science consulting services. The Material Shield™ engine is a forensic data extraction tool designed to identify targeted chemical vectors and regulatory keywords within client-provided documentation. CompoziQ does not provide legal counsel, regulatory guarantees, or chemical certifications.
2. Limitation of Liability & Indemnification
The ultimate responsibility for supply chain compliance, product safety, and regulatory adherence rests entirely with the procurement entity. CompoziQ Inc. analyzes the data as provided by your suppliers.
- We assume no liability for false, redacted, incomplete, or fraudulently altered Safety Data Sheets (SDS) submitted into our engine.
- In no event shall CompoziQ Inc., its engineers, or its affiliates be held liable for indirect, incidental, consequential, or punitive damages.
- This includes but is not limited to product recalls, border impoundments, loss of profits, or regulatory fines resulting from the procurement of flagged or unflagged materials.
3. Forensic Dossier Engagements
For clients who escalate to a fixed-fee Forensic Dossier, CompoziQ commits to executing a manual, deep-dive engineering audit of the provided documentation within the agreed-upon Service Level Agreement (SLA). The resulting dossier represents our professional materials science assessment based on current, public regulatory frameworks (e.g., EU REACH, EPA TSCA) at the time of the timestamped audit.
4. Algorithmic Limitations
While our regex-bounded algorithms and extraction matrices are built to high precision, no automated system is infallible. The “CLEARED FOR PROCUREMENT” status indicates that no targeted regulatory vectors were detected in the text of the submitted document. It does not constitute a physical laboratory verification of the material’s chemical composition.
5. Governing Law
These Terms of Engagement and any separate consulting agreements shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any dispute arising under these terms shall be resolved exclusively in the jurisdictions of Ontario, Canada.
